Please carefully read these Terms of Use (“Agreement”) before accessing Yieldr’s web application. This Agreement has been prepared as a legally binding agreement between you (“you” or “your”) and Yieldr, together with any subsidiaries and affiliates, (“Yieldr,” “we,” or “us”) for the use of the Yieldr web application (“Web App”).

Your use of the Web App is only on the condition that you agree to abide by the terms contained in this Agreement. By accessing and using the Web App, you agree to be bound by the terms and conditions of this Agreement. DO NOT ACCESS THE WEB APP IN ANY WAY IF YOU DO NOT AGREE TO THESE TERMS OF USE.

1. Your License to Access this Web App

Your access to and use of this Web App is governed by the terms of this Agreement. All written content prepared and posted by us, and the Web App design, layout, look, appearance, and graphics on the Web App, as well as the trademarks, service marks, and logos contained on our Web App (collectively, “Yieldr Content”) are owned by or licensed to us and are subject to copyright, trademark, and other intellectual property rights under the United States and foreign laws and international conventions. We reserve all rights not expressly granted in, and to, the Web App and the Yieldr Content.

Except as otherwise provided in this Agreement, no part of the Web App and no Yieldr Content may be copied, reproduced, uploaded, posted, publicly displayed, transmitted, or distributed in any way to any other computer, server, website, or other medium for publication or distribution or for any commercial use without our prior express written consent.

Your access to this Web App is provided on a temporary basis with no guarantee for future availability. We reserve the right to withdraw or modify any content we provide on the Web App without notice.

2. Your Account

The use of our Web App requires an account, you agree to provide us with complete and accurate information and to keep the information current so that we can communicate with you about your account. We may need to send you emails about notable updates (like changes to our Terms of Use or Privacy Policy), or to let you know about legal inquiries or complaints we receive about the ways you use our Services so you can make informed choices in response. We may limit your access to our Web App until we’re able to verify your account information, like your email address. When you create an account, we consider that to be an inquiry about our products and services, which means that we may also contact you to share more details about what we have to offer (i.e., marketing). If you aren’t interested, you can opt out of the marketing communications, whether it’s an email, phone call, or text message. You’re solely responsible and liable for all activity under your account. You’re also fully responsible for maintaining the security of your account (which includes keeping your password secure). We’re not liable for any acts or omissions by you, including any damages of any kind incurred as a result of your acts or omissions. Don’t share or misuse your access credentials. And notify us immediately of any unauthorized uses of your account, store, or website, or of any other breach of security. 3. Fees, Payment, and Renewal

Full access for our Web App is available for a fee (“Paid subscription”). By using the Web App, you agree to pay the specified fees. There may be one-time fees and recurring fees. For recurring fees, we’ll bill or charge you in the automatically-renewing interval (such as monthly or annually) you select, on a pre-pay basis until you cancel, which you can do at any time in settings of your account or by contacting the relevant support team.

• Taxes. To the extent permitted by law, or unless explicitly stated otherwise, all fees do not include applicable federal, provincial, state, local or other governmental sales, value-added, goods and services, harmonized or other taxes, fees, or charges (“Taxes”). You’re responsible for paying all applicable Taxes relating to your use of our Web App, your payments, or your purchases. If we’re obligated to pay or collect Taxes on the fees you’ve paid or will pay, you’re responsible for those Taxes, and we may collect payment.
• Payment. If your payment fails, or your subscription is otherwise not paid for or paid for on time (for example, if you contact your bank or credit card company to decline or reverse the charge of fees), or we suspect a payment is fraudulent, we may immediately cancel or revoke your subscription without notice to you.
• Automatic Renewal. To ensure uninterrupted service, your subscription is automatically renewed. This means that unless you cancel your subscription before the end of the applicable subscription period, it will automatically renew, and you authorize us to use any payment mechanism we have on record for you, like credit cards or PayPal, to collect the then-applicable subscription fee as well as any Taxes. By default, your Paid subscription will be renewed for the same interval as your original subscription period, so for example, if you purchase a one-year subscription, you’ll be charged each year for access for another 12-month period. We may charge your account up to one month before the end of the subscription period to make sure billing issues don’t inadvertently disrupt your access to our Service. The date for the automatic renewal is based on the date of the original purchase and cannot be changed. You can view your renewal date(s) and manage subscriptions by visiting your Account settings page in your user profile. You’ll need to check your email (including in spam or other filters) for any reminder emails we might send you before your subscription renews.
• Cancelling Automatic Renewal. You can manage and cancel your subscription at the Account settings page in your user profile. To cancel a subscription, go to your Account settings page, then follow the instructions to cancel the subscription or turn off auto-renew. If auto-renew is successfully turned off, you’ll see the date on which your subscription expires.
• Fees and Changes. We may change our fees at any time in accordance with these Terms and requirements under applicable law. This means that we may change our fees going forward, start charging fees for Service that were previously free, or remove or update features or functionality that were previously included in the fees. If you don’t agree with the changes, you must cancel your Paid subscription.
• Refunds. All payments are final and Yieldr will issue no full or partial refunds of any fees paid in respect of its Web App, except at its discretion as set out below.
• Discretionary Refunds. Yieldr may, at its sole discretion, issue a refund for a request within 14 days of the transaction date. Submitting a request within this 14-day period does not guarantee a refund. Any discretionary refund Yieldr grants is voluntary and does not create an obligation to provide refunds in the future, including for similar requests.

4. Restrictions on Participation

Do not misuse the Web App or any of the content provided on the Web App. You may not sell or otherwise share the information provided through the Web App with any third party, without the prior written consent of Yieldr.

As a condition of accessing the Web App, you agree not to (a) reproduce, duplicate, copy, sell, resell or exploit any portion of the Web App other than as expressly allowed under this Agreement; (b) use Yieldr’s name, trademarks, server or other materials in connection with, or to transmit, any unsolicited communications or emails; (c) use any high-volume, automated or electronic means to access the Web App (including without limitation, robots, spiders, scripts or web-scraping tools); (d) frame the Web App, place pop-up windows over its pages or otherwise affect the display of its page; (e) use any manual process to monitor or copy any of the material on the Web App or for any other unauthorized purpose; (f) introduce any viruses, Trojan horses, worms, logic bombs or other material which is malicious or technologically harmful; or (g) otherwise interfere with or disrupt the Web App or servers or networks connected to the Web App, or disobey any requirements, procedures, policies, or regulations of networks connected to the Web App.

5. Your Privacy; Protection of Your Account Credentials

The Yieldr Privacy Policy describes how we collect and use personal information about you through the Web App. You are responsible for protecting your Web App account log-in credentials from unauthorized access and use. You must promptly notify us by email at info@yieldrapp.com of any known or suspected unauthorized use(s) of your account.

6. Disclaimer

THE YIELDR WEB APP AND ANY AND ALL INFORMATION CONTAINED THEREIN IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON- INFRINGEMENT. YIELDR DOES NOT WARRANT, AND HEREBY DISCLAIMS ANY WARRANTIES, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THE ACCURACY, ADEQUACY, OR COMPLETENESS OF THE INFORMATION CONTAINED IN THE WEB APP.

YIELDR IS NOT A REGISTERED INVESTMENT ADVISOR OR BROKER/DEALER. ALL INFORMATION PROVIDED ON THIS WEBSITE OR THROUGH THE WEB APP IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY. ANY OPINIONS, CHATS, MESSAGES, NEWS, RESEARCH, ANALYSES, PRICES, OR OTHER INFORMATION CONTAINED ON THIS WEBSITE ARE PROVIDED AS GENERAL MARKET INFORMATION FOR EDUCATIONAL AND ENTERTAINMENT PURPOSES ONLY, AND DO NOT CONSTITUTE INVESTMENT ADVICE. YOU ACKNOWLEDGE AND AGREE THAT ANY ACCESS TO OR USE OF THE WEB APP OR ANY INFORMATION PROVIDED THEREON IS AT YOUR OWN RISK.

7. Liability Limitation

EXCEPT AS PROHIBITED BY LAW, YOU AGREE THAT YIELDR WILL NOT BE LIABLE TO YOU FOR ANY LOSS OR DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR (OR ANY THIRD PARTY’S) USE OR INABILITY TO USE THE WEB APP, DATA LOSS, YOUR RELIANCE UPON INFORMATION OBTAINED FROM OR THROUGH THE WEB APP, OR ANY OTHER POTENTIAL CLAIMS RELATED TO THE WEB APP.

EXCEPT AS PROHIBITED BY LAW, YIELDR WILL NOT HAVE LIABILITY FOR ANY CONSEQUENTIAL, INDIRECT, PUNITIVE, SPECIAL, OR INCIDENTAL DAMAGES, WHETHER FORESEEABLE OR UNFORESEEABLE (INCLUDING, BUT NOT LIMITED TO, CLAIMS FOR DEFAMATION, ERRORS, LOSS OF DATA, OR INTERRUPTION IN AVAILABILITY OF DATA), ARISING OUT OF OR RELATING TO THIS AGREEMENT, YOUR USE OR INABILITY TO USE THE WEB APP, DATA LOSS, OR YOUR RELIANCE UPON INFORMATION OBTAINED FROM OR THROUGH THE WEB APP, WHETHER BASED IN CONTRACT, TORT, STATUTORY, OR OTHER LAW.

YOU ACKNOWLEDGE AND AGREE THAT THE WARRANTY DISCLAIMERS AND THE LIMITATIONS OF LIABILITY SET FORTH IN THIS AGREEMENT REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND YIELDR, AND THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS FOR YIELDR’S ABILITY TO MAKE THE WEB APP AVAILABLE TO YOU ON AN ECONOMICALLY FEASIBLE BASIS.

8. Indemnification

You agree to indemnify, defend, and hold harmless Yieldr and its affiliates, officers, agents, employees, and assignees from any and all claims, liabilities, expenses and damages, including reasonable attorneys’ fees and costs, made by any third party relating to or arising out of: (a) your use or attempted use of the Web App or any content contained therein; (b) your violation of any law or rights of any third party, and (c) any act or omission by you which is a breach of your obligations under this Agreement. You will have the right to defend and compromise such claim at your expense for the benefit of Yieldr; provided, however, you will not have the right to obligate Yieldr in any respect in connection with any such settlement without the written consent of Yieldr. Notwithstanding the foregoing, if you fail to assume your obligation to defend, Yieldr may do so to protect their interests and you will reimburse all costs incurred by Yieldr in connection with such defense.

9. Termination Rights

You agree that Yieldr, in its sole discretion, may terminate your access and use of the Web App, for any reason or no reason, and that Yieldr shall have no liability to you for any such action.
